1. Agreement to Terms

By accessing and using StartupDeals, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Use License

Permission is granted to temporarily access the materials on StartupDeals for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title. Under this license, you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or public display
• Attempt to reverse engineer any software contained on StartupDeals
• Remove any copyright or proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms. You are responsible for:

• Maintaining the confidentiality of your account and password
• Restricting access to your computer and account
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. Seller Obligations

If you are selling assets on StartupDeals, you agree to:

• Provide accurate and complete information about your assets
• Have the legal right to sell the assets you list
• Deliver assets as described within the agreed timeframe
• Provide necessary documentation and support for asset transfer
• Respond to buyer inquiries in a timely manner
• Not engage in fraudulent or deceptive practices

5. Buyer Obligations

If you are purchasing assets on StartupDeals, you agree to:

• Make payments in good faith for assets you purchase
• Confirm receipt of assets within the specified timeframe
• Conduct reasonable due diligence before purchasing
• Communicate with sellers in a professional manner
• Not engage in fraudulent chargebacks or payment disputes

6. Fees and Payments

StartupDeals charges a platform fee on each successful transaction. The current fee structure is 5% of the transaction value plus applicable payment processing fees. Sellers are responsible for paying these fees, which are automatically deducted from the sale proceeds. All payments are processed securely through Stripe.

7. Escrow and Fund Release

All payments are held in escrow until the buyer confirms receipt and satisfaction with the asset. Funds are released to the seller after buyer confirmation or after a specified holding period. StartupDeals reserves the right to hold funds for investigation if fraud or disputes are suspected.

8. Disputes

In the event of a dispute between buyer and seller, both parties agree to first attempt to resolve the matter through StartupDeals' dispute resolution system. StartupDeals will act as a neutral mediator and may make a final determination on fund disbursement based on the evidence provided by both parties.

9. Prohibited Activities

You may not use StartupDeals for any illegal or unauthorized purpose. Prohibited activities include:

• Listing assets you do not own or have the right to sell
• Engaging in money laundering or fraudulent transactions
• Attempting to circumvent platform fees
• Harassing or threatening other users
• Uploading malware or malicious code
• Scraping or unauthorized data collection
• Creating multiple accounts to manipulate the platform

10. Intellectual Property

The service and its original content, features, and functionality are owned by StartupDeals and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of assets you list, but grant StartupDeals a license to display and promote them on the platform.

11. Disclaimers

StartupDeals provides the platform "as is" without any warranties, expressed or implied. We do not guarantee the accuracy, completeness, or quality of assets listed on the platform. Buyers are responsible for conducting their own due diligence. We are not party to any transaction and bear no responsibility for disputes between buyers and sellers.

12. Limitation of Liability

In no event shall StartupDeals, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the service. Our total liability shall not exceed the amount of fees paid by you in the past 12 months.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the service will immediately cease. All provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new Terms of Service on this page and updating the "Last updated" date. Your continued use of the platform after changes constitutes acceptance of the new terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to its conflict of law provisions. Any disputes arising from these terms will be resolved through binding arbitration.
